Terms and Conditions of Use

RWY (hereinafter “RWY”), operating under the trade name Circle Climbing Routes, a simplified joint-stock company (SAS) with share capital of €10,000, registered with the Chambéry Trade and Companies Register under number 921 702 262, whose registered office is located at 42 B, route du Revard, Aix-les-Bains (73100), France, publishes and operates the website https://circleclimbing.com (hereinafter the “Site”).

The Site is dedicated to the sale, to professional customers — meaning any natural or legal person acting for purposes within the scope of their usual business activities (including on behalf of another professional) (hereinafter the “Customer”) — of climbing route models designed by professional route setters from around the world and available for 3D preview on the Site (hereinafter the “Products”).

Any natural or legal person using the Site, whether a Customer or a simple visitor, is considered a user of the Site (hereinafter the “User”).

These Terms of Use (hereinafter the “Terms”) are intended to define the characteristics, terms, and conditions governing the use of the Site and access to its functionalities, as well as the rights and obligations of RWY on the one hand and any User of the Site on the other hand.

For the conditions governing the sale of Products on the Site, Customers are invited to consult the Terms and Conditions of Sale available here, or on the Site by clicking the “Terms and Conditions of Sale” link displayed at the bottom of each page (hereinafter the “T&Cs”).

1. ACCEPTANCE AND MODIFICATION OF THE TERMS

1.1. Acceptance of the Terms

Any purchase of Products on the Site is subject to the Customer’s express and unconditional acceptance of these Terms.

Such acceptance is made by ticking the acceptance box for the Terms after having read them:

  • When placing an order as a guest, after entering personal information and validating the order, in accordance with Article 4.1 of the T&Cs;
  • When creating a Customer account and validating the registration.

These Terms are made available to Users on the Site and may be consulted directly by clicking the “Terms of Use” link displayed at the bottom of each page.

1.2. Modification of the Terms

RWY reserves the right to modify these Terms in order to adapt them to developments relating to the Site, its operation, and/or legislative or regulatory changes.

Any modification to the Terms shall enter into force upon the Customer’s express acceptance by ticking the acceptance box for the updated Terms.

2. CUSTOMER ACCOUNT

2.1. Creation of a Customer Account

Customers may create a Customer account in order to save time during future orders and access certain Site features detailed in Article 2.2 below.

A Customer account may be created either during the ordering process or beforehand by clicking the “Log In” tab displayed on all pages of the Site.

The Customer must complete the required fields to create their Customer account, which will serve as their login, as well as create a password containing at least twelve characters, including at least one uppercase letter, one lowercase letter, one number, and one special character.

Fields marked with an asterisk are mandatory.

The Customer expressly undertakes not to provide false information and not to create a Customer account on behalf of a third party.

The Customer will then receive a registration confirmation email at the email address provided during registration in order to confirm the validity of the address.

The Customer benefits from permanent and secure access to their Customer account using their login credentials and password. The Customer also has access to a dedicated visualization area on the 3D platform viewer.circle.

The password is strictly personal and confidential. The Customer undertakes to keep it secret and not disclose it, in any form whatsoever, to third parties.

In the event of loss or theft of the password, the Customer shall inform RWY as soon as possible by sending a message through the contact form available on the Site or via the “Forgot Password” option. RWY will then send password reset instructions to the email address provided by the Customer.

The Customer acknowledges that any connection made using their login credentials and password shall be deemed to have been made by them personally. If the Customer becomes aware of unauthorized access to their Customer account by a third party, they undertake to inform RWY as soon as possible via the Site contact form.

Any change in the information provided by the Customer must be updated online and will take effect on the first business day following the update.

2.2. Features Reserved for Customers with an Account

Subject to registration in accordance with Article 2.1 above, Customers may:

  • Add Products to their wishlist;
  • Publish reviews on ordered Products.

3. USER COMMITMENTS REGARDING USE OF THE SITE

Users undertake to behave appropriately on the Site, it being specified that each User is solely responsible for their use of the Site.

Users undertake not to publish any content on the Site, including reviews, that violates any applicable law or regulation, including:

  • Not publishing content:
    • contrary to public order or accepted standards of morality;
    • defamatory, insulting, racist, xenophobic, revisionist, or harmful to the honor or reputation of others;
    • inciting hatred or violence against a person or group based on origin, ethnicity, nationality, race, or religion;
    • of a pedophilic nature;
    • encouraging the commission of offenses, crimes, or acts of terrorism, or glorifying war crimes or crimes against humanity;
    • encouraging suicide.
  • Respecting the rights of others, including:
    • personality rights;
    • intellectual and industrial property rights;
    • rights relating to persons and property.

It is strictly prohibited to use the Site for the following purposes:

  • Carrying out illegal or fraudulent activities or activities infringing the rights or safety of third parties;
  • Breaching public order or violating applicable local, national, or international laws and regulations;
  • Assisting or encouraging, in any form whatsoever, one or more of the acts or activities described above;
  • Separating or attempting to separate Site components, including by using them outside their intended purpose, obtaining or using previous or subsequent versions separately, or transferring them independently;
  • Intentionally transmitting elements containing viruses, Trojan horses, spyware, or any other harmful software or code designed to disrupt the proper functioning of the Site.

More generally, Users shall refrain from any conduct likely to impair the proper functioning of the Site and/or damage the image of the Site or RWY’s reputation.

Users undertake to indemnify RWY against all financial consequences that RWY may incur as a result of any breach of the above guarantees concerning publications.

Consequently, Users expressly agree to indemnify RWY in the event of any action or claim brought by a third party arising from any content published by the User on the Site.

RWY reserves the right to remove, without prior notice, any User contribution that violates applicable legislation. RWY also reserves the right to seek the User’s civil and/or criminal liability where appropriate.

4. INTELLECTUAL PROPERTY

RWY owns all intellectual property exploitation rights relating to the Site and its elements (software, graphic charter, structure, database architecture, graphical interface, etc.), whether owned directly by RWY or licensed by third parties.

Nothing in these Terms, nor access to the Site, implies any transfer of RWY’s intellectual and/or industrial property rights to the User.

Any commercial or non-commercial use, including downloading, copying, reproduction, distribution, transmission, broadcasting, adaptation, translation, or representation, whether in whole or in part, of the Site or any of its elements, by any current or future means or process and on any current or future medium, without RWY’s prior written authorization, is prohibited and may result in legal proceedings, particularly for infringement under Articles L. 335-2 et seq. of the French Intellectual Property Code, subject to Article L. 122-5 of the same Code.

5. HYPERTEXT LINKS

The Site may contain hyperlinks directing Users to other websites or more generally to any resources available on the Internet. RWY shall not be held liable in any way whatsoever for such hyperlinks or their consultation.

The creation of a hyperlink to the Site and/or any page of the Site requires RWY’s prior express authorization, which shall never be deemed permanently granted. Such link must be removed upon RWY’s request. Contact us.

6. PERSONAL DATA

7. COOKIES

8. LIABILITY

RWY will make its best efforts to ensure that the Site is accessible 24 hours a day, 7 days a week, except in cases of force majeure, events beyond its control, or maintenance and/or updates necessary for the proper functioning of the Site.

Users are informed that connection to the Site is made via the Internet network. Users acknowledge the technical hazards that may affect this network and cause slowdowns or unavailability making access impossible.

RWY is only bound by a best-efforts obligation regarding Site accessibility and cannot be held liable for access difficulties caused by Internet network disruptions beyond its control.

Likewise, RWY shall not under any circumstances be held liable for difficulties accessing the Site related to the User’s equipment. It is the User’s responsibility to take all necessary measures to ensure that their IT network and equipment are compatible with access to the Site.

All costs relating to access to and use of the Site, whether hardware, software, or Internet access costs, are exclusively borne by the User. The User is solely responsible for the proper functioning of their computer equipment and Internet access.

Each User is responsible for taking all appropriate measures to protect their data, software, and hardware from possible contamination by viruses circulating through the Site.

RWY also reserves the right to interrupt the Site at any time, without prior notice, in order to carry out maintenance and/or updates necessary for the proper functioning or improvement of the Site, or to remedy a security vulnerability.

9. SEVERABILITY

If any provision of these Terms is found to be invalid under applicable law or by a final court decision, such provision shall be deemed unwritten without affecting the validity of the remaining provisions of these Terms.

11. APPLICABLE LAW – DISPUTES

These Terms are governed by French law.

In the event of a dispute regarding the validity, interpretation, performance, or termination of these Terms, the parties shall endeavor to seek an amicable resolution.

Failing an amicable agreement, the dispute shall be brought before the competent French courts within the jurisdiction of the Lyon Court of Appeal.
